The content will include:

•  Understanding how a contract is formed and what is required 

to create legal relations – including topics such as offer and acceptance,

 intention to create legal relations, consideration, the meaning of 

‘draft / subject to contract’ and the implications of this being written on a contract.

•  Identifying some of the key terms/clauses to look out for 

– including charges, liability, warranties and indemnities 

(including the differences between the two), term and 

termination, data protection, confidentiality, TUPE, 

governing law and jurisdiction.

•  Working through the key boilerplate clauses that you 

typically see in commercial contracts and why each of them is there.

•  A case law update on cases decided in 2023/2024 

and which are important for English contract law.
